Either party may terminate this Statement of Work with or without cause upon thirty (30) days prior written notice to the other party. [your name] shall provide all reasonably necessary services to wind down the services under this Statement of Work and [CLIENT] will pay [your name] for the work they have done.

In the event that this Statement of Work is terminated by either party pursuant to this Section, [CLIENT] agrees to pay [your name] (a) any amounts owing for Services provided under this Statement of Work calculated on a pro-rata basis, and wind-down work, any out-of-pocket expenses incurred by [your name] up to and including the effective date of termination; (b) any non-cancelable contracts or commitments made pursuant to this Statement of Work or with [CLIENT'S] written authorization and still existing at the expiration or termination of this Statement of Work; or (c) for any materials or services [your name] has committed to purchase for [CLIENT] as outlined herein.
